2. PRESENTATION OF COMPANY: 
RealBee is a, AI-powered Commercialisation Intelligence Platform, that supports early-stage innovation and commercialisation by delivering: Use case generation and exploration, Automated market analysis, and Intelligent patent search. RealBee supports the commercialisation of research, helps new university startups, and serves as an educational tool for students. 
 
3. DESCRIPTION OF THE TASK UNDER MARKET EVALUATION: 

The project concerns supporting a capital raise process from initial preparation through investor engagement to final closing. The process begins with a screening phase where the company’s capital needs, valuation expectations, ownership structure, and strategic ambitions are clarified. During this stage, the project team will provide sparring on the pitch deck and investment case to ensure that all materials are structured, credible, and investor-ready. A realistic process plan and timeline will also be established.

Following the preparation phase, the focus shifts to establishing a lead investor team typically consisting of 1–3 investors with relevant industry experience and investment capabilities. The lead team will act as primary strategic sparring partners throughout the process and contribute to validating valuation assumptions, investment structure, and overall deal terms. Securing a strong lead team is a critical milestone, as it significantly increases credibility and facilitates engagement from additional investors.

In parallel with the lead team dialogue, the investment case will be presented to a broader network of potential investors. This parallel investor outreach aims to generate awareness, interest, and momentum while ensuring that negotiations remain structured and manageable. The approach minimizes the complexity of negotiating simultaneously with a large number of investors.

Once the principal commercial terms have been aligned with the lead team, the project proceeds to the final transaction phase. This includes facilitating the negotiation of a term sheet, coordinating the due diligence process, and supporting the transaction through to final closing. Throughout this phase, the project team will coordinate with legal advisors and other stakeholders to ensure progress, alignment, and a smooth execution of the investment process.

 4. TASK OBJECTIVES AND SUCCESS CRITERIA: 
The primary objective of the project is to advise and guide RealBee and build up skills in the company to successfully structure and execute a professional and efficient capital raising process that attracts qualified investors and results in a completed investment round under well-defined and balanced terms.

More specifically, the objectives are to make RealBee able to:

Prepare a clear, compelling, and investor-ready investment case and supporting materials.
Identify and secure a strong lead investor team that can validate the investment opportunity and help structure the round.
Generate qualified investor interest through structured outreach to a relevant investor network.
Facilitate a transparent and efficient negotiation and transaction process leading to a signed term sheet, completed due diligence, and final closing of the investment round.

The project will be considered successful if the following outcomes are achieved:

The company’s investment case and pitch materials are fully prepared and validated for investor engagement.
A qualified lead investor team (typically 1–3 investors) is established and actively participates in structuring the investment round.
A sufficient level of interest and engagement is generated within the investor network to support the fundraising process.
Key commercial terms are agreed upon and documented in a signed term sheet.
The due diligence process is completed without critical issues.
The investment round is successfully closed with committed capital secured according to the agreed structure and timeline.

 5. BUDGET OG SPECIFICATION OF AN OFFER: 

The maximum budget for this offer is 40.000 DKK excl. VAT.

We expect a written offer to include at least: 
• Date of submission of offer 
• A brief presentation of the bidder, stating the CVR number and contact details. If relevant, with references and history 
• Bidder's proposal for solving the task 
• Specification of the price for solving the task 
• Discount, if relevant 
• Timeframe and end date 
• Conditions for the offer, if any 
 
6. BACKGROUND FOR THE TENDER: 
Beyond Beta is subject to a number of requirements for good, healthy financial management, including documentation that the agreed price for external purchases is an expression of the market price. This tender is part of these requirements. 
We emphasize that the bidder must only make an offer on the requested task.  
Services of executing or implementing nature cannot be approved  
The winning bid is chosen based on an assessment of the best correlation between price and quality
