Submit offer Consultant for Advisory Services on Corporate Structure, Shareholding, and Legal-Tax Competencies

The Beyond Beta program supports the Danish startup ecosystem from the initial idea to investment and scaling by providing founders with the right network, knowledge, and navigation tools.
Danish Life Science Cluster acts as a mentor organization for start-ups within life science and welfare technology.

As part of the Beyond Beta program, we are inviting proposals for advisory services to assist founders in building stronger competencies in corporate structure, shareholding frameworks, and understanding of Danish legal and taxation requirements.

The purpose of this engagement is to help early-stage companies establish robust ownership and governance structures that support long-term growth, investor readiness, and compliance.

Criteria for Advisory Services
The advisory sessions can be spread over multiple days to allow for follow-up discussions and a comprehensive learning experience.
The advisory support will consist of approximately 5–6 sessions, held in person or online, depending on participant availability and location.

The sessions must be conducted in English, preferably during November-December 2025.
Participation will be free of charge for the start-ups, but they must register their hours under the de minimis rule.

The sessions should cover the topics listed in the Scope of Work, including:

• Guidance on incorporation processes for holding entities and registration requirements.
• Advice on legal and taxation considerations related to shareholding structures and share transfers.
• Recommendations and insights for updating and executing shareholder agreements.
• Development of founders’ understanding of Danish legal, governance, and tax principles relevant to company growth and compliance.

Scope of Work
The consultant will provide advisory services in the following areas:

1. Incorporation Guidance
Providing strategic advice on incorporation processes for holding entities, including best practices for legal registration and corporate governance.

2. Shareholding Structure and Legal-Tax Advisory
Advising on regulatory and taxation considerations related to shareholding structures and share transfers.
Supporting founders in increasing their understanding of compliance requirements, legal frameworks, and tax implications in Denmark.

3. Shareholder Relations and Agreements
Providing input and recommendations for updating and executing shareholder agreements.
Advising on aligning ownership structures with strategic and operational goals.

Budget
The task should be completed as a fixed-price offer covering all the consultant’s expenses related to the task.
The budget for the tender is a maximum of DKK 25,000 excluding VAT.

The consultant must clearly indicate the price with reference to roles, specialties, and experiences in the solution description, as well as the employees (consultants) and the organization they are part of.
Expenses for subcontractors must be included in the fixed-price offer. 

Selection Criteria
Upon receiving the proposals, a concrete assessment of the submitted proposals will be made, and based on this, a consultant will be selected. The assessment will focus on the following criteria:

1. Quality of the proposed solution, including understanding of the task and a well-described task design (weight: 50%).
2. Consultant’s experience with similar tasks (weight: 30%).
3. Price (weight: 20%).

The deadline for submission of proposals is 27th of October 2025.
