3. DESCRIPTION OF THE TASK UNDER MARKET EVALUATION: 

As part of the Beyond Beta program, we are inviting proposals for legal advisory services to support MMW Aps in strengthening their ownership structures and preparing for investment.

The purpose of this engagement is to provide guidance on integrating new founders into existing ownership frameworks, structuring differentiated share classes, and supporting legal readiness for early-stage investment processes.

The advisory will help ensure that participating companies establish clear, compliant, and investor-ready legal structures that support sustainable growth and alignment among founders and future investors.

 
4. TASK OBJECTIVES AND SUCCESS CRITERIA: 

Scope of Work:

The consultant will provide legal advisory services in the following areas:

1. Founder Integration and Shareholder Agreement Update

Providing legal guidance and support in incorporating a third founder into the existing ownership structure. Advising on updates to the shareholder agreement to reflect the new ownership dynamics.

2. Share Class Structuring (B Shares)

Advising on the introduction of B shares as part of the shareholder agreement. Providing recommendations on structuring differentiated rights in alignment with the company's strategy.

3. Registration and Compliance

Supporting the registration of changes with the Danish Business Authority. Ensuring compliance with relevant Danish legal requirements.

4. Investment Preparation and Legal Representation

Providing legal advisory in preparation for the first investment round. Supporting the review and structuring of general investment terms and conditions.

Criteria for Advisory Services:

The advisory services are expected to be delivered in a flexible format, combining working sessions and legal deliverables.

The total advisory effort is estimated at approximately 8–10 hours.

The services may be delivered through a combination of virtual and/or in-person meetings, depending on availability and needs.

The consultant must be able to provide services in English.

The advisory support should cover the topics listed in the Scope of Work, including:

● Guidance on incorporating a new founder into the existing shareholder agreement

and ownership structure.

● Legal advisory on introducing differentiated share classes (B shares).

● Support with registration requirements with the Danish Business Authority.

● Legal input and representation related to early-stage investment terms and

conditions.

 
5. BUDGET OG SPECIFICATION OF AN OFFER: 
We expect a written offer to include at least: 
• Date of submission of offer 
• A brief presentation of the bidder, stating the CVR number and contact details. If relevant, with references and history 
• Bidder's proposal for solving the task 
• Specification of the price for solving the task: 25.000 DKK ex VAT 
• Discount, if relevant 
• Timeframe and end date 
• Conditions for the offer, if any:

The consultant must clearly indicate the price in the solution description, referencing roles, specialties, and experience, as well as the employees (consultants) and the organization they are part of

Expenses for subcontractors must be included in the fixed-price offer

 
 
6. BACKGROUND FOR THE TENDER: 
Beyond Beta is subject to a number of requirements for good, healthy financial management, including documentation that the agreed price for external purchases is an expression of the market price. This tender is part of these requirements. 
We emphasize that the bidder must only make an offer on the requested task.  
Services of executing or implementing nature cannot be approved  
The winning bid is chosen based on an assessment of the best correlation between price and quality
